I was using a website to incorporate my company and on their website, it said you can incorporate yourself as LLC and easily switch to C-corp through their website at any time. But when I called the representative of the company that owned the website to confirm, he told me that their company actually doesn’t provide that service in particular to WA state (where I plan to incorporate it as it would be easier since I live here and don’t want to have to deal with issues of needing to go to Delaware for any legal issues) {Side note, is that a good idea or should I only incorporate in Delaware? I was told by my professors that in the long run, Delaware is better but not a huge deal if you don’t do it there.}. Unfortunately, the representative couldn’t tell me why they couldn’t switch it over but he bets it has something to do with state laws. (If anyone knows why, that would be amazing to learn!!). I know I will be eventually pitching to investors as I do plan on scaling out (and having a cap table, hence thinking about C-corp) so should I just start out as a C-Corp or is it a good idea to be an LLC first? Any feedback would be greatly appreciated as this decision is severely halting my progress. – by hq overview Barhoz – –
